Platform Terms of Service

Effective Date: January 2, 2026

These Platform Terms of Service ("Terms") govern your access to and use of CAIO Bridge ("Platform") operated by CAIO LLC ("CAIO", "we", "us"). By using the Platform, you agree to these Terms.

1. Definitions

Key terms used throughout these Terms:

  • "Account" — your registered access to the Platform
  • "Authorized Users" — individuals you permit to access your Workspace
  • "BYO Credentials" — third-party API keys and accounts you provide
  • "CAIO Bridge" — the growth platform and related tools
  • "Content" — materials you create, upload, or publish through the Platform
  • "Contact Data" — information about third-party prospects and customers
  • "Generated Content" — AI-produced outputs from the Platform
  • "Managed Services" — third-party subscriptions procured and administered by CAIO
  • "Workspace" — your dedicated organizational space within the Platform

2. Platform Description

2.1 Services Provided

CAIO Bridge offers B2B software tools including CRM & Pipeline management, Prospecting & Enrichment, Multi-Channel Outreach, Content & Publishing, Market Intelligence, Call Tracking, Proposals & Invoicing, Advisory Management, and AI Agent Capabilities.

2.2 Feature Availability

Not all features are available to all users. Feature access depends on your Subscription tier, Workspace configuration, and applicable feature flags.

2.3 White-Label and Custom Domains

Custom domains require verification and DNS configuration. CAIO does not guarantee domain availability or resolution.

3. Account Registration and Security

3.1 Account Creation

You must be at least 18 years old and provide accurate information to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

3.3 Workspaces and Team Access

Workspace owners manage user access and are responsible for ensuring Authorized Users comply with these Terms.

4. Subscriptions, Fees, and Payment

4.1 Subscription Plans

Feature access may require paid subscriptions. Advisory clients should reference the Master Services Agreement.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected).

4.3 Price Changes

Pricing changes require 60 days' notice. You may cancel without penalty before increases take effect.

4.4 Automatic Renewal

Subscriptions renew automatically unless canceled before the renewal date.

4.5 Refunds

Subscription fees are generally non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or downgraded plans.

5. Your Content and Data

5.1 Ownership

You retain ownership of your Content. CAIO claims no ownership interest.

5.2 License to CAIO

By using the Platform, you grant us a limited, non-exclusive, royalty-free license to store, process, display, and transmit your Content solely as necessary to operate the Platform.

5.3 Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of your Content.

5.4 Contact Data

You must ensure a legal basis for storing and processing Contact Data in compliance with applicable privacy laws.

5.5 Aggregated and Anonymized Data

We may collect, aggregate, and anonymize data derived from your use of the Platform to improve our products, develop benchmarks, and enhance platform features.

6. AI-Generated Content and Agent Capabilities

6.1 AI Features

The Platform uses third-party AI models (including Anthropic Claude) and proprietary agent architectures.

6.2 AI Agent Autonomy

Agents can autonomously perform research, enrichment, drafting, and analysis. External communications require your approval unless you have explicitly configured otherwise.

6.3 No Warranty of Accuracy

Generated Content and AI agent outputs may contain errors, inaccuracies, omissions, or inappropriate material.

6.4 User Responsibility

You must review, verify, and edit all Generated Content before use or publication.

6.5 Ownership of Generated Content

You own Generated Content subject to third-party rights and applicable IP law limitations.

6.6 AI Model Training

Your Content and Contact Data are not used to train third-party AI foundation models.

7. Call Recording and Transcription

When call tracking features are enabled, you are responsible for compliance with applicable call recording laws in your jurisdiction, including obtaining all required consent from participants.

AI-extracted insights from calls may contain errors. You must review summaries before relying on them.

WE ARE NOT RESPONSIBLE FOR YOUR COMPLIANCE WITH CALL RECORDING LAWS.

8. Advisory Session Recordings

CAIO may record advisory sessions and consulting calls. Notice is provided at the beginning of each recorded session. Continued participation constitutes consent.

Recordings support note generation, quality assurance, and operational insights. Recordings are retained for 12 months or the engagement period plus 6 months, whichever is longer.

9. Email Outreach

When using email outreach features, you agree to:

  • Comply with CAN-SPAM, GDPR, CASL, and other applicable anti-spam laws
  • Only send emails to recipients who have provided appropriate consent
  • Include accurate sender information, physical address, and unsubscribe mechanisms
  • Honor unsubscribe requests within ten (10) business days
  • Not use purchased lists or scraped addresses

We may suspend email features for violations or if sending reputation impacts our infrastructure.

10. LinkedIn and Social Media Automation

Automated actions must comply with platform-specific terms and policies. You accept that platforms may restrict, suspend, or ban your accounts due to automation.

WE ARE NOT RESPONSIBLE FOR ANY ACTIONS TAKEN AGAINST YOUR ACCOUNTS BY LINKEDIN, X, OR OTHER THIRD-PARTY PLATFORMS.

11. Data Enrichment

Contact Data may be supplemented with information from third-party providers. Enriched data is provided "as-is" without warranty of accuracy, completeness, or currency. You must verify enriched data before relying on it.

12. Managed Services and BYO Credentials

For Managed Services, CAIO procures and administers third-party accounts. Access discontinues upon subscription termination. For BYO Credentials, you retain ownership and responsibility for your own third-party accounts. All credentials are encrypted at rest using AES-256 encryption.

13. Proposals and Electronic Signatures

You can create and send proposals with electronic signature collection. You are responsible for proposal accuracy and legal compliance. CAIO captures signature data but does not guarantee enforceability across all jurisdictions.

14. Third-Party Integrations

Connecting third-party accounts via OAuth authorizes CAIO to access and interact with them. We request only the minimum necessary permissions. You may disconnect Third-Party accounts at any time, which may limit Platform functionality.

15. Acceptable Use

Your use of the Platform must comply with our Acceptable Use Policy, which is incorporated by reference into these Terms.

16. Intellectual Property

The Platform, including CAIO Bridge, its design, features, code, AI agent architectures, module frameworks, workflows, documentation, trademarks, and all related intellectual property, is owned by CAIO. You may not copy, modify, distribute, or create derivative works.

Content you create remains yours. We claim no ownership of your Content, Contact Data, or business data.

17. Privacy and Data Protection

Our privacy practices are governed by our Privacy Policy and Data Processing Agreement, both incorporated by reference.

18. Confidentiality

CAIO maintains the confidentiality of your information except as necessary to provide services or as required by law. You must maintain confidentiality of non-public Platform information.

19. Service Availability and Support

We strive to maintain high Platform availability but do not guarantee uninterrupted or error-free service. Features may be modified, updated, or discontinued with reasonable notice. Support availability depends on your Subscription tier.

20. Term and Termination

20.1 Termination by You

You may cancel your subscription and request account deletion at any time through the Settings page or by contacting us.

20.2 Termination by CAIO

We may suspend accounts immediately for violations or provide 30 days' notice for other terminations.

20.3 Effect of Termination

Upon termination, Platform access ceases. Your data is retained for 30 days for export requests, after which it will be permanently deleted.

20.4 Data Export

Upon request within 30 days of termination, we will provide data exports in standard formats (CSV, JSON) within 15 business days.

21. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

23. Indemnification

You agree to indemnify and hold harmless CAIO from any claims, damages, losses, or expenses arising from your use of the Platform, Content you create or distribute, your violation of these Terms, email outreach activities, social media automation, or communications sent through the Platform.

24. Dispute Resolution

Disputes shall first be addressed through good-faith informal resolution for 30 days. These Terms are governed by North Carolina law. Exclusive jurisdiction lies with the state or federal courts in Mecklenburg County, North Carolina.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

25. General Provisions

  • Entire Agreement: These Terms, along with the Privacy Policy, Acceptable Use Policy, Data Processing Agreement, and MSA (if applicable) constitute the complete agreement.
  • Modifications: We may modify these Terms with 30 days' notice. Continued use constitutes acceptance.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Assignment: You cannot assign without consent. CAIO may assign in mergers or asset sales.
  • Notices: Notices sent via email or Platform to your account. Notices to CAIO sent to legal@getcaio.com.
